RYANES Affiliate / Agent Policy

Aligned to SaaS² Governance Framework

1. Purpose

This Policy defines the operational, ethical, and financial standards for all individuals or entities participating in the RYANES Sales-as-a-Service (SaaS²) network as Affiliates or White-Label Resellers.Its objective is to ensure fairness, transparency, and regulatory compliance across all regions.

2. Roles Covered

Role Description
Affiliate Marketer Independent promoter earning commission per verified sale through SaaS² telemetry. Operates under self-managed channels (social, content, referrals).
White-Label Reseller (Dependent) Operates under own brand while RYANES handles payment and fulfilment. RYANES = merchant of record.
White-Label Reseller (Independent) Enterprise-level partner with its own merchant gateway under formal Partner Agreement (future tier).

3. Legal and Regulatory Compliance

  1. Affiliate Disclosure Requirements – Affiliates must clearly disclose their commercial relationship when promoting any RYANES or client offer. Example: “As a RYANES partner, I may earn a commission for qualifying sales.”
  2. White-Label Resellers – Act as independent businesses; no disclosure required if marketing is truthful and not misleading.
  3. Advertising Standards – All promotions must comply with consumer-protection law (FTC US / APPI JP / PIPEDA CA).
  4. Data Protection – Agents must safeguard all personal or telemetry data per APPI (Japan) and PIPEDA (Canada).

4. Ethical Conduct

Agents must operate with integrity and professionalism. Prohibited acts include:

  • False or deceptive advertising
  • Spam or unsolicited bulk outreach
  • Misrepresentation of affiliation or authority
  • Interference with another agent’s telemetry
  • Involvement in illegal, hateful, or adult-content adjacency

5. Payouts

All transactions are processed through RYANES’ central Stripe gateway. After telemetry verification, payouts occur via PayPal.

5.1 Affiliate Marketers

  • Method: PayPal
  • Frequency: Monthly (≤ 10 business days post-cycle)
  • Threshold: ¥3 000 / USD 25 min
  • Currency: JPY · CAD · USD
  • Automation: Cron-scheduled PayPal MassPay (AffiliateWP)
  • Memo: “RYANES Affiliate Commission — [Month YYYY]”

5.2 White-Label Resellers (Dependent)

  • Merchant of Record: RYANES Holdings
  • Gateway: Stripe (RYANES central)
  • Method: PayPal (higher tier rate)
  • Frequency: Monthly · net-30 default
  • Basis: RYANES aggregates customer payments, deducts infrastructure + fulfilment fees, then issues profit share via PayPal.
  • Currency: JPY / CAD (USD optional)
  • Docs: Ledger + monthly statement in Portal
  • Label: “RYANES Reseller Payout — [Month YYYY] Settlement”

Dependent resellers never handle customer funds directly. All sales flow through RYANES for tax and refund control.

5.3 Independent Resellers (Future)

Custom arrangements under signed Partner Agreements.

5.4 Transparency & Audit

Telemetry ledger = sole source of truth. Reports kept 12 months. Disputes ≤ 30 days. RYANES may delay payouts pending fraud review.

6. Two-Tier Commission Structure

  • Tier 1: Direct sale by Affiliate or Reseller.
  • Tier 2: Sale by sub-affiliate under Reseller.
  • Cap: Two levels only (no multi-level marketing).
    Tier 2 override rates appear per campaign inside Portal.

7. Account Management

Agents must keep contact and PayPal info accurate.Accounts inactive > 180 days may be archived. Duplicate or fraudulent accounts forfeit earnings.

8. Suspension & Termination

Procedure: Written notice via Portal → 5 business days for response → final review by Governance Committee.Grounds include policy breach, fraud, or reputation damage.Verified unpaid commissions may be remitted at RYANES’ discretion.

9. Intellectual Property & Brand Use

All marks and materials belong to RYANES Holdings Co., Ltd. / Inc.Use only official assets from the Portal.No unauthorized modifications or third-party redistribution.

10. Business Card & Representation Policy

Affiliates – May use official template (approved before printing). Must include “Independent RYANES Agent.” No corporate addresses or titles such as Manager / Director.Resellers – Use own branding. Optional phrase “Powered by RYANES” with written consent. Unauthorized use = termination.

11. Governance & Transparency

  • Telemetry Verification: Every sale time-stamped & immutable.
  • Data Integrity: Records retained ≥ 12 months (see §15).
  • Ethical Oversight: Monthly random audit.
  • Appeals: Submit through Portal → Support → Appeal Request.

12. Liability & Indemnification

Agents = independent contractors. They bear their own tax, advertising, and third-party liability. Agents agree to indemnify RYANES from claims arising from their conduct or content.

13. Tax Documentation

Annual income summaries (T4A / 1099 equivalents or regional forms) are issued for qualifying payout amounts per jurisdiction. Agents are responsible for declaring earnings to local authorities.

14. Anti-Bribery & Conflict of Interest

Agents must not offer or accept any bribe, kickback, or inducement related to sales or recruitment. Potential conflicts of interest must be disclosed to RYANES in writing.

15. Data Retention & Portability

Telemetry and payout records are kept for five (5) years for auditing and regulatory purposes.
Affiliates may request export or deletion of personal data in accordance with APPI and PIPEDA. Requests handled within 30 days.

16. Advertising Channel Restrictions

  • No bidding on RYANES or client trademarks in search ads.
  • No spam, bot, or mass DM campaigns.
  • No use of misleading “get-rich” language.
  • No placement alongside adult, hate, or illegal content.
    Violations result in immediate suspension.

17. Governing Law & Jurisdiction

This Policy is governed by the laws of:

  • Japan (for Asia-Pacific operations) and
  • Ontario, Canada (for North America operations).
    Disputes are subject to the exclusive jurisdiction of courts in Tokyo or Toronto respectively.

18. Amendments

RYANES may update this Policy periodically. Notice of material changes will appear in the Portal and by email ≥ 7 days before taking effect.

By registering as a RYANES Agent or Reseller, you confirm that you have read, understood, and agree to this Policy and all related governance documents. Digital consent collected during Portal registration serves as your binding electronic signature.
